Terms of Service

1. Acceptance of Terms

By accessing or using the gpuLabs platform (“Service”), including the website at gpulabs.cloud, APIs, and any related services, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use the Service.

2. Description of Service

gpuLabs provides on-demand GPU cloud infrastructure, AI inference endpoints, persistent storage, and related developer tools. We act as an intermediary platform that provisions compute resources from third-party infrastructure providers.

3. Account Registration

You must provide a valid email address to create an account. You are responsible for maintaining the confidentiality of your account credentials, API keys, and SSH keys. You are fully responsible for all activities that occur under your account.

4. Merchant of Record

All payments for the Service are processed by Paddle.com Market Ltd (“Paddle”), which acts as the Merchant of Record for all transactions. This means:

  • Your purchase contract for payment purposes is with Paddle, not gpuLabs
  • Paddle is responsible for processing your payment, issuing invoices, and handling VAT / GST / sales tax
  • Charges will appear on your bank or credit card statement as “PADDLE.NET*GPULABS” or similar
  • Paddle's Checkout Buyer Terms apply to all checkout transactions
  • Paddle's Privacy Policy governs the processing of your payment data

5. Billing and Payments

The Service operates on a prepaid balance model. You must maintain a positive balance to use compute resources. GPU instances are billed per hour based on the listed price at the time of deployment. When your balance reaches $0, all running instances will be automatically terminated without prior notice.

Payment Methods: We accept credit cards, debit cards, PayPal, and other methods available through Paddle. Cryptocurrency payments (BTC, USDT TRC-20) are accepted as an alternative with a minimum deposit of $100.

Taxes: All prices displayed on the platform are exclusive of applicable taxes. VAT, GST, and sales tax are calculated and collected by Paddle at checkout based on your billing location.

Invoices: Invoices for payments processed through Paddle are issued by Paddle and available through your billing dashboard. Invoices include all legally required tax information for your jurisdiction.

6. Refund Policy

We offer refunds under the following conditions:

  • Unused Balance: If you have deposited funds and have not consumed any compute resources, you may request a full refund within 14 days of the deposit
  • Service Issues: If the Service was materially unavailable or defective during a billing period, you may request a pro-rata refund for the affected period within 30 days
  • How to Request: Contact support@gpulabs.cloud with your account email and transaction details. Refund requests are processed within 5–10 business days
  • Non-Refundable: Consumed compute hours, bandwidth, and storage usage are non-refundable. Promotional credits are non-refundable

All refunds for card and PayPal payments are processed by Paddle to your original payment method. Cryptocurrency deposits are refunded in the original cryptocurrency to the address you specify.

7. Acceptable Use

You agree not to use the Service for:

  • Any illegal activity, including but not limited to cryptocurrency mining on shared resources without authorization
  • Distributing malware, viruses, or any harmful code
  • Unauthorized access to other systems or networks
  • Generating or distributing illegal content
  • Activities that violate the rights of third parties
  • Overloading or interfering with the Service infrastructure

We reserve the right to suspend or terminate your account immediately and without notice if we determine that you have violated these terms.

7.1. Account Registration Requirements

Registration requires a valid, permanent email address from a reputable email provider. Temporary, disposable, and single-use email addresses are strictly prohibited. This includes, but is not limited to, services such as Guerrilla Mail, Temp Mail, 10MinuteMail, Mailinator, and similar providers. Accounts registered with such addresses will be automatically rejected. If you see the message “Registration is not available”, it means your email address has been identified as temporary or disposable and cannot be used to create an account.

7.2. Abuse Prevention

The following activities constitute abuse of the Service and will result in immediate account suspension or permanent ban without prior warning:

  • Multiple account creation — creating more than one account per person to exploit promotions or circumvent restrictions
  • Identity fraud — registering with false information, impersonating another person, or using stolen credentials
  • Resource abuse — using instances for DDoS attacks, spam, port scanning, brute-force attacks, or any activity harmful to third parties or our infrastructure
  • Circumvention — attempting to bypass rate limits, security controls, billing restrictions, or any other protective measures

We employ automated detection systems including email validation, IP analysis, and behavioral monitoring. Accounts flagged for abuse may be terminated immediately and any remaining balance forfeited. gpuLabs reserves the right to report abusive activity to relevant authorities.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free from data loss. GPU instances may be terminated, migrated, or experience downtime at any time due to infrastructure provider actions, maintenance, or technical issues.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GPULABS, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of data, profits, revenue, or business opportunities
  • Cost of procurement of substitute services
  • Interruption of business or computing operations
  • Loss or corruption of data stored on instances or volumes
  • Unauthorized access to your instances or data
  • Any damages resulting from the termination of instances due to insufficient balance

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO GPULABS IN THE 30 DAYS PRECEDING THE CLAIM.

You acknowledge that gpuLabs is not responsible for any actions, omissions, or failures of third-party infrastructure providers. We do not guarantee the availability, performance, or security of the underlying hardware.

10. Data and Content

You retain ownership of all data and content you upload to or create on the Service. However, you acknowledge that:

  • Data on GPU instances is ephemeral and will be lost when instances are deleted
  • We are not responsible for backing up your data
  • Persistent volumes may be subject to data loss due to hardware failure
  • We may access your data only as necessary to provide the Service or comply with legal obligations

11. Account Termination

We reserve the right to suspend or terminate your account at any time, with or without cause, with or without notice. Upon termination, all running instances will be immediately deleted. If you have an unused balance that was deposited within the last 14 days and not consumed, you may request a refund per our Refund Policy. You may delete your account at any time by contacting support.

12. Indemnification

You agree to indemnify, defend, and hold harmless gpuLabs and its affiliates from and against any claims, liabilities, damages, losses, and expenses arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

13. Promotional Credits

gpuLabs may offer promotional credits or deposit bonuses from time to time. Promotional credits are subject to the following conditions:

  • Promotional credits are non-transferable and cannot be assigned to another account
  • Promotional credits are non-refundable and hold no cash value
  • gpuLabs reserves the right to modify, suspend, or discontinue any promotional program at any time without notice
  • Abuse of promotional programs, including creating multiple accounts, will result in immediate account termination

14. Service Level

gpuLabs does not guarantee a specific uptime percentage or service level agreement (SLA) for accounts on the free or developer tier. The Service is provided on a best-effort basis.

  • Scheduled and unscheduled maintenance may occur at any time
  • GPU availability varies by region and demand and is not guaranteed
  • Instance provisioning times are estimates, not commitments
  • Enterprise customers may request a custom SLA by contacting support@gpulabs.cloud

15. Third-Party Services

gpuLabs provisions compute resources through third-party infrastructure providers and processes payments through Paddle. You acknowledge and agree that:

  • gpuLabs is not responsible for outages, data loss, or performance degradation caused by third-party infrastructure providers
  • Third-party providers may have their own terms of service and acceptable use policies that apply to the underlying hardware
  • Paddle's terms and privacy policy apply to all payment transactions
  • gpuLabs makes no warranties regarding the actions, availability, or reliability of any third-party provider
  • In the event of a third-party provider failure, gpuLabs will make reasonable efforts to migrate or restore affected services but does not guarantee recovery

16. Modifications

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting. Your continued use of the Service after modifications constitutes acceptance of the updated Terms.

17. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through binding arbitration.
